1. Overview & Platform Definition
ChefOrders is a restaurant Point of Sale (POS), Kitchen Display System (KDS), and Guest Self-Ordering software solution operated by Dancing Labs ("Company", "We", "Us"). By creating an account or utilizing ChefOrders services, restaurant owners, staff, and diners agree to these Terms of Service.
2. Payment Architecture & Processing Conditions
Important Clarification on Customer-to-Merchant Payments: ChefOrders acts strictly as an administrative SaaS software platform provider. ChefOrders is not a payment gateway, payment facilitator, money transmitter, or escrow agent for restaurant food orders.
A. Restaurant Guest / Diner Food Orders & Payment Gateways
- Direct Merchant Accounts & Razorpay 1-Click Partner Integration: All payments placed by guests/diners for food orders are processed directly into the restaurant merchant's payment account. Merchants in India and supported territories may connect their Razorpay account via 1-Click OAuth Partner Linking (`acc_...`) or provide direct custom gateway credentials.
- Supported Regional Payment Methods:
- India (`IN`): Direct Razorpay PG (UPI, Cards, NetBanking, Wallets), Direct UPI QR codes & SMS listener auto-settlements.
- United States (`US`): Credit/Debit Cards, Apple Pay, Google Pay via Stripe; Venmo handles; Zelle IDs.
- Singapore (`SG`): Credit/Debit Cards via Stripe; PayNow UEN / QR Code handles.
- Australia (`AU`): Credit/Debit Cards via Stripe; PayID / Osko handles.
- Spain (`ES`) & Eurozone (`DE`, `FR`, `IT`, `NL`): Credit/Debit Cards via Stripe; Bizum phone handles; SEPA / Instant transfers.
- United Kingdom (`GB`) & Global: Credit/Debit Cards via Stripe; PayPal.me handles.
- Automated Online Checkout Mode: When a merchant connects an eligible payment gateway, Seamless Gateway Auto-Checkout (`SEAMLESS_PG_AUTO`) is active by default. Verified guest online payments automatically confirm orders and route them straight to the kitchen. Merchants maintain full control and may toggle this preference OFF anytime in their dashboard/app settings.
- Platform Convenience Fee & Reporting Transparency: For automated gateway checkouts, a SaaS platform convenience fee of ₹0.12 (inclusive of 18% GST) per completed order is split and collected via Razorpay Route settlements. Merchants can track all fee splits, gross sales, and net settlements in real-time in their dashboard transaction reports and download monthly GST tax invoices.
- No Holding of Unsettled Funds: ChefOrders does not collect, hold, or escrow diner food payment funds. Settlement schedules and gateway processing fees are governed by the merchant's gateway agreement.
- Refunds & Chargebacks: Any payment disputes, food quality claims, cancellations, or chargebacks are strictly between the diner and the merchant.
- Mandatory Guest PWA Ad Network: To maintain our ultra-competitive flat platform fee structure (₹0.08 per order), contextual sponsor advertisements displayed on Guest Web PWAs (menu, checkout, and tracking screens) are mandatory across all merchant subscription plans and payment integration modes.
B. SaaS Subscription Fees (Restaurant Owners ➔ Dancing Labs)
- Subscription Gateways & Supported Currencies: Platform subscription plans (Monthly/Annual) paid by restaurant owners to Dancing Labs are billed via Razorpay International in local currencies:

- GBP (£): £3.99/mo | £25.00/yr (United Kingdom)
- EUR (€): €4.99/mo | €30.00/yr (Germany, France, Spain & Eurozone)
- AUD (A$): A$6.99/mo | A$40.00/yr (Australia)
- SGD (S$): S$6.99/mo | S$40.00/yr (Singapore)
- CAD (C$): C$6.99/mo | C$40.00/yr (Canada)
- INR (₹): ₹499/mo | ₹2,999/yr (India)
- Trial Period: International branches receive a 14-day free trial upon account setup (`TRIALING` status).
- Pro-Rata Annual Cancellation: If an annual subscriber cancels prior to the 12-month period end, pro-rata refunds are calculated based on the standard non-discounted monthly rate for elapsed months:
Refund = Paid Amount - (Elapsed Months × Standard Monthly Rate).
- Service Suspension: If a subscription payment fails or expires, online guest self-ordering services are automatically suspended until billing is resolved.
3. Merchant Responsibilities
Restaurant owners using ChefOrders are responsible for:
- Maintaining valid, authorized API credentials (Stripe Publishable & Secret Keys) and merchant accounts.
- Complying with local consumer protection laws, food safety regulations, and tax reporting requirements (GST/Sales Tax).
- Securing staff access credentials and managing register drawer floats accurately.
4. Limitation of Liability
To the maximum extent permitted by applicable law, Dancing Labs shall not be liable for indirect, incidental, or consequential damages, including loss of business revenue or merchant gateway processing fees.
